1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client" or "you") and Dregvor Architecture Ltd, a company registered in England with registration number 11478205, VAT number GB518429306, with an address at 102 Southwark Bridge Rd, London SE1 0GX, United Kingdom ("We", "us", "our", or "Company").

By accessing and using our website, services, or engaging with our company in any capacity, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services or website.

2. Services Provided

Dregvor Architecture Ltd provides architectural design, planning consultation, project management, and related professional services ("Services"). Our Services are provided on a professional basis in accordance with architectural standards and best practices.

All Services are provided subject to the terms and conditions outlined in this agreement and any specific service agreements or proposals mutually agreed upon in writing.

3. Scope of Work

The scope of work for any project is defined in a detailed brief, proposal, or engagement letter provided to you prior to commencement. Any work undertaken by us shall be limited to the scope defined in such documentation.

Changes to the scope of work must be documented in writing and may result in adjustments to fees and timelines. We reserve the right to suspend work if scope changes are requested without corresponding adjustments to terms.

4. Fees and Payment Terms

Fees for our Services shall be as agreed in writing in advance. Payment terms are typically as follows:

  • • Initial deposit upon engagement (as specified in the proposal)
  • • Progress payments upon completion of project milestones
  • • Final payment upon project delivery

Invoices are payable within 30 days of issue unless otherwise agreed. Late payments may incur interest charges at the statutory rate or 8% per annum above the Bank of England base rate, whichever is greater, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

Fees are exclusive of Value Added Tax (VAT) unless otherwise stated. VAT will be added to invoices at the applicable rate.

5. Intellectual Property Rights

All original designs, drawings, documents, and materials created by us in the course of our engagement ("Work Product") remain the intellectual property of Dregvor Architecture Ltd until all fees have been paid in full.

Upon full payment of all fees, you are granted a non-exclusive license to use the Work Product for the project for which it was created. This license does not permit you to modify, reproduce, or license the Work Product to third parties without our prior written consent.

You retain ownership of any materials, information, or content you provide to us. We may use general methodologies and principles developed through our work for other projects, provided that confidential information specific to your project is not disclosed.

6. Confidentiality

Both parties agree to maintain the confidentiality of all sensitive information shared during our engagement, including project details, specifications, budgets, and business information.

We may disclose information where required by law, regulation, or professional codes of conduct. We may also reference completed projects in our portfolio with your written consent.

Confidentiality obligations shall survive termination of our engagement for a period of three (3) years.

7. Limitation of Liability

To the maximum extent permitted by law, our total liability arising from or related to these Terms and our Services shall not exceed the total fees paid by you for the Services in the twelve (12) months preceding the claim.

In no event shall we be liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost revenue, lost data, or business interruption, even if we have been advised of the possibility of such damages.

We shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including acts of God, natural disasters, pandemics, government actions, or force majeure events.

8. Professional Standards and Disclaimers

Our Services are provided in accordance with the Royal Institute of British Architects (RIBA) standards and the professional codes of conduct applicable to registered architects in the United Kingdom.

We do not warrant that our designs will obtain planning permission, building regulation approval, or comply with all applicable laws and regulations. Such approvals remain the responsibility of you and relevant statutory authorities.

We do not provide legal, financial, tax, or engineering advice unless explicitly contracted to do so. You are responsible for engaging appropriate specialists for areas outside architectural scope.

9. Insurance and Professional Indemnity

Dregvor Architecture Ltd maintains professional indemnity insurance in accordance with RIBA requirements. Details of our insurance coverage are available upon request.

Professional indemnity insurance provides cover for claims arising from our professional negligence. Any claim must be notified to us in writing within a reasonable time of discovery and in accordance with insurance policy terms.

10. Termination

Either party may terminate this engagement by providing written notice. Upon termination:

  • • You shall pay for all Services rendered to the date of termination
  • • We shall deliver all materials and documentation in our possession
  • • Intellectual property rights remain subject to Section 5 above

We reserve the right to terminate engagement immediately if you breach these Terms materially or fail to pay invoices.

11. Data Protection and Privacy

We process personal data in accordance with the General Data Protection Regulation (GDPR) and the Data Protection Act 2018. Our Privacy Policy, available at our website, sets out how we collect, use, and protect your personal information.

By engaging our Services, you consent to the collection and processing of personal data as described in our Privacy Policy.

12. Use of Website

You agree to use our website solely for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment of the website.

You agree not to:

17. Entire Agreement

These Terms, together with any written engagement letters, proposals, or service agreements, constitute the entire agreement between you and us regarding our Services and supersedes all prior and contemporaneous agreements, understandings, and negotiations, whether written or oral.

18. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, the provision shall be severed from these Terms. The remaining provisions shall remain in full force and effect.

19. Waiver

The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be made in writing and signed by the waiving party.

20. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights under these Terms to affiliated entities or successors without your consent, provided we remain responsible for performance.
